Rules of Conduct
Every executives and employee must obey these rules of conduct regardless of their position. All shareholders including partner companies are entitled to these rules of conduct. The rules of conduct serve as a concrete standard of what Lotte’s staff members should and should not do and define their role performances in everyday life.
Chapter 4. Partner Companies
4-1 Fair Trade and Prohibition of Conflict of Interests
1)Do not directly or indirectly obtain stocks or assets of partner companies.
2)Provide fair opportunities through free competition to enough number of qualified companies when selecting and registering partner companies in compliance with company rules. If not specified in the rules, choose partners rationally based on objective and fair evaluation standards and economic feasibility.
3)In the course of dealing with the partners, do not make any request taking advantage of special relationship such familial ties, regionalism, or school relations or put external pressure upon them using one’s business position.
4-2 Co-Prosperity and Coexistence
1)Make efforts for mutual development with partners in compliance with the principles of mutual benefits. Do not make unfair request using our company’s power and dominant position.
2)Make efforts to support the partners’ management activities. Do not cast our burden on partners.
4-3 Prohibition of Receiving Congratulatory/Condolences Money, Bribery, Entertainment, or Expediency
1)o not put the partner companies under pressure by making impellent announcement about congratulatory/condolences events of executives and employees.
2)Do not receive money, products, gift certificate, gifts or any sort of entertainment. Do not impute the burden of paying for drinks or meal to the partner companies. However, treating customers and partners with meal or beverages that can be socially accepted is excepted.
3)Executives and employees do not assist customers with personal cash loans or directly engage in cash loans with shareholders.
4-4 How to deal with money and goods, entertainment treat, or expediency.
1)Subject to Report
- In case of receiving money, gift cards, tickets, securities, entertainment, expediency, or other sorts of gifts from stakeholders that exceed socially acceptable range, one must report it. However, when the gifts are not quid pro quo and the market value of them does not exceed socially acceptable range, there is no need to report.
2)Report Procedure
- In case of reporting money and goods, gifts, or entertainment treat that was received under inevitable circumstances related to work, one must report it in writing to the first superior (or senior) within 3 working days from the received date in accordance with the format of ‘bribery report’.
3)How to deal with Money and Goods
- Money and goods provided by stakeholders exceeding socially acceptable range must not be received under any circumstances and should be politely rejected.
In case of inevitable circumstances (did not know about the delivery of money and goods, rejection was considered rude at the moment, etc.), report it to superior and hand in the money/goods to the head of department. The head of department must immediately return the money/goods to the provider within 6 days with polite words of apology.
